- Scope of service
The Supplier undertakes to assemble printed circuit boards (PCBs) according to the technical requirements provided by the Customer.
- Customer Responsibilities
The Customer agrees to:
- Provide complete and correct BOM data, Gerber files and specific assembly instructions.
- Ensure that all materials are RoHS compliant, unless otherwise agreed.
- Approve prototypes before series production, if agreed.
- Supplier Responsibilities
The Supplier agrees to:
- Assemble the printed circuit boards in accordance with the given requirements.
- Perform quality control in accordance with the given instructions.
- Report any deviations or delays without delay.
- Pricing and Payment Terms
- Prices are based on confirmed offers and are valid for [30/60] days.
- Invoicing is based on delivery or agreed milestones.
- Payment terms: net [14] days, unless otherwise agreed.
- Interest on late payment is subject to the Finnish Interest Act.
- Delivery and delivery times
- The estimated delivery time is [X] business days from order confirmation and availability of materials.
- The supplier is not liable for delays due to material shortages or third parties.
- Warranty and complaints
- The supplier grants a [12] month warranty for assembly work.
- Complaints must be made within [14] days of receipt of the product.
- Intellectual property rights
- All intellectual property rights related to the design remain with the Customer.
- The supplier undertakes to keep all documents confidential.
- Confidentiality
Both parties agree to keep all commercial and technical information received confidential and not to disclose it to third parties.
- Force majeure
- Neither party is liable for delays or omissions due to force majeure.
- Duration and termination of the agreement
- The agreement enters into force upon signature and is valid until further notice.
- Either party may terminate the agreement with 30 days' written notice.
- Dispute resolution and applicable law
- The agreement is governed by Finnish law.
- Disputes will primarily be resolved through negotiations. If no agreement is reached, the dispute will be resolved in the [local] District Court.
